2.2 Technical Infrastructure

Services are hosted on Microsoft Azure servers (region: West Europe). Authentication is provided by Microsoft Entra ID (CIAM). No payment service provider is currently integrated. Should paid services be introduced (Section 6.3), the payment service provider used will be named in these Terms and in the Privacy Policy before any payment is taken.

2.3 Availability

The Provider strives for high platform availability (target availability: 99.5% per calendar month). Maintenance windows will be announced in advance where possible. A legal right to a specific availability level only exists if a separate Service Level Agreement (SLA) has been concluded.

2.4 Out of Scope

The following are not part of this contract:

  • Installation, commissioning, or maintenance of physical charging infrastructure,
  • Electricity generation or supply,
  • Grid or transmission fees,
  • Third-party services used independently by the User.

3. Registration and User Account

3.1 Registration

Registration is required to use most features. Registration is completed by providing a valid email address, setting a password, and accepting these Terms and the Privacy Policy. Alternatively, registration is possible via Google Sign-In or OAuth.

3.2 Registration Obligations

Users are required to:

  • Provide truthful and complete information,
  • Keep login credentials confidential and protect them from unauthorized access,
  • Update account information promptly when changes occur,
  • Notify the Provider immediately if unauthorized access to the account is suspected.

3.3 Guest Access

MeruX offers guest access for certain charging functions without full registration. These Terms apply to guest users to the extent applicable to the features available in guest mode.

3.4 Age Requirement

Use of MeruX services requires that the User has reached the age of 18, or has the consent of a parent or guardian.

3.5 Organization Accounts (B2B)

Companies can create an organization account and manage multiple users. The account administrator of an organization is responsible for proper use by all members of the organization. The Provider and the company may additionally enter into a SaaS Agreement and a Data Processing Agreement (DPA).

4. License and Usage Rights

4.1 Grant

The Provider grants the User a non-exclusive, non-transferable, non-sublicensable right to use the MeruX app and web services for the duration of the contract for the contractual purpose.

4.2 Restrictions

Users are prohibited from:

  • Reverse engineering, decompiling, or extracting source code from the software,
  • Renting, leasing, reselling, or sublicensing the platform to third parties,
  • Conducting automated access (bots, scrapers) to the API or system beyond normal intended use,
  • Using the platform for unlawful purposes or in a manner that infringes the rights of third parties,
  • Circumventing or disabling security mechanisms of the system.

5. User Obligations

5.1 General Obligations

Users agree to:

  • Use the platform only as intended,
  • Not upload content that violates applicable law,
  • Ensure correct configuration of their charging stations and vehicles,
  • Independently fulfill technical requirements for charging infrastructure (certifications, safety regulations),
  • Provide accurate billing data (meter readings, usage times) to the Provider.

5.2 Charging Sessions and Stations

The User is responsible for:

  • Properly operating each charging station and following manufacturer instructions,
  • Ensuring the charging station is compatible with the vehicle being charged,
  • Not using damaged or defective charging stations and reporting defects to the Provider,
  • Complying with applicable parking and operating regulations at the charging location.

5.3 Data Accuracy

The User ensures that data stored in the system (vehicle license plates, initial meter readings, user data) is accurate and up to date. Incorrect entries may result in erroneous billing.

6. Prices and Future Paid Services

6.1 Current Pricing

MeruX is currently provided free of charge. All features described in Section 2.1 are included in every user account at no cost. No paid subscription plans are currently offered, no in-app purchases are available, and no payment details are collected in the app.

6.2 Usage Limits

The Provider may apply reasonable technical limits to free accounts (for example, the number of vehicles, family members, or guest charging sessions per month). The limits applicable to an account are shown in the app. The Provider may adjust these limits; a reduction of existing limits will be announced to affected Users by email or in-app at least 30 days in advance.

6.3 Future Paid Services

The Provider reserves the right to introduce paid plans or additional paid services in the future. If paid services are introduced, the following applies:

  • The applicable prices, payment terms, and billing conditions will be published at https://merux.app before they take effect and incorporated into these Terms in accordance with Section 13.
  • Features that are available free of charge at the time of introduction will not become subject to a fee for existing Users without their express consent.
  • Prices for consumers will include statutory VAT unless otherwise indicated. Prices for businesses will be quoted net plus statutory VAT.
  • Consumers will be informed of their statutory right of withdrawal (Section 7) before any paid contract is concluded.

7. Right of Withdrawal (Consumers)

7.1 Right of Withdrawal for Digital Services

Consumers have the statutory right to withdraw from contracts for digital services within 14 days.

Important notice on early performance:

If the User as a consumer expressly requests that performance of the digital service begins before the end of the withdrawal period, and the User confirms their knowledge that they will lose their right of withdrawal upon complete performance of the contract (§ 356 para. 5 BGB), the right of withdrawal expires upon complete performance of the service.

For contracts for the continuous provision of digital services (subscriptions), the right of withdrawal expires 14 days after the conclusion of the contract.

7.2 Withdrawal Notice

Right of Withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the date of conclusion of the contract.

To exercise the right of withdrawal, you must inform us (Jens Schneider, bluepolicy, Knütgenstr. 12, 53721 Siegburg, Germany, jens.schneider@bluepolicy.de) of your decision to withdraw from this contract by an unequivocal statement (e.g., a letter sent by post or an email). You may use the model withdrawal form provided below, but this is not mandatory.

To meet the withdrawal deadline, it is sufficient for you to send your notification concerning the exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (except for additional costs arising from your choice of a delivery method other than the least expensive standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested that services begin during the withdrawal period, you shall pay us an amount that is in proportion to what has been provided until the point you communicated your withdrawal from this contract, in comparison with the full coverage of the contract.

7.3 Model Withdrawal Form

Free basic access is for an indefinite term and may be terminated by either party at any time without notice.

8.2 Future Paid Subscriptions

No paid subscriptions are currently offered (Section 6.1). Should paid subscription plans be introduced (Section 6.3), the following will apply to them:

  • Minimum term, renewal, and notice periods will be stated in these Terms and at the point of purchase before a paid plan can be concluded.

  • After expiry of an initial term, renewal will only be for an indefinite term, terminable at any time with at most one month's notice.

Note for consumers: Pursuant to § 309 No. 9 BGB, the minimum term of a paid plan may not exceed two years, automatic renewal for a definite term is void, and the notice period may not exceed one month.

8.3 Form of Termination

Termination may be effected:

  • By email to: jens.schneider@bluepolicy.de
  • Via the app under Settings → Delete account (deleting the account ends the user relationship; the account can be restored by signing in again within 30 days, after which it is deleted permanently)

8.4 Extraordinary Termination

Both parties reserve the right to extraordinary termination for good cause. Good cause exists in particular if:

  • The User violates material obligations under these Terms,
  • The User fails to meet payment obligations despite a reminder,
  • The User uses the platform for unlawful purposes.

8.5 Consequences of Termination

Upon termination of the contract, access to premium features will be disabled. The User may export their data prior to termination (where an export function is available). Data will be deleted after expiry of the applicable statutory retention periods (see Privacy Policy).

9. Warranty and Defect Liability

9.1 Quality

The Provider warrants that the platform will be provided in the contractually agreed condition. For consumers using digital services, the statutory provisions of §§ 327 et seq. BGB (contracts for digital products) apply.

9.2 Updates

To the extent required by law, the Provider shall provide updates necessary to maintain the conformity of the service (§ 327f BGB applies to consumers).

9.2a User Obligation to Install App Updates

The Provider is entitled to technically enforce a minimum version of the MeruX mobile app. If the user is running an outdated version, access to the platform may be restricted until the current version is installed. Mandatory updates are communicated to the user within the app. No special right of termination arises from mandatory updates provided that installation is free of charge and reasonably practicable. The current app version is verified on launch via a version comparison call (GET /app/update-check).

9.3 Reporting Defects

Defects should be reported to the Provider promptly at support@bluepolicy.de. The Provider will endeavor to rectify defects in a timely manner.

9.4 No Warranty for Third-Party Services

The Provider does not warrant the availability or functionality of third-party services (Stripe, Azure, OCPP-compatible charging stations, Tibber API, etc.).

10. Liability

10.1 General Principle

The Provider is liable in accordance with applicable law for damages arising from intentional or grossly negligent conduct.

10.2 Limitation for Simple Negligence

In cases of simple negligence, the Provider's liability is limited to breaches of a material contractual obligation (cardinal obligation), i.e., an obligation whose fulfillment is essential to the proper performance of the contract and on whose compliance the User regularly relies. In such cases, liability is limited to foreseeable, typically occurring damages. In addition, the Provider’s liability in such cases is capped at an amount equal to the fees paid by the User in the respective contract year (annual fee), but not exceeding EUR 10,000 in total.

10.3 Exclusions

All liability is excluded for:

  • Damage caused by errors or failures in the User's charging infrastructure,
  • Damage resulting from incorrect configuration by the User,
  • Force majeure events (natural disasters, cyberattacks on third-party providers, cloud provider outages),
  • Lost profits and pure economic losses, unless caused by the Provider's intent or gross negligence.

10.4 No Limitation for

The following liability remains unaffected:

  • Damages from injury to life, body, or health,
  • Liability under the German Product Liability Act (ProdHG),
  • Fraudulent misrepresentation or assumption of a quality guarantee,
  • Other mandatory statutory provisions.

10.5 Data Backup

The User is responsible for making their own data backups where possible. The Provider is not liable for data losses attributable to inadequate backup by the User.

11. Data Protection and AI Processing

The collection and processing of personal data is governed by our Privacy Policy, available at https://merux.app/privacy, which forms part of these Terms. For B2B contracts, a Data Processing Agreement (DPA) pursuant to Art. 28 GDPR will additionally be concluded.

11.1 Use of AI Systems (EU AI Act Transparency Obligation)

MeruX uses AI systems that involve automated processing of user data. Pursuant to Art. 50 of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689, applicable from August 2, 2026), we inform you about the following AI-powered features:

  • OCR Receipt Capture (Non-OCPP charging sessions): Photos of charging display readings are automatically read using AI vision technology (OpenAI Vision API, provider: OpenAI, LLC) to extract meter start and end values for billing purposes. No automated decision-making with legal effect takes place. Users can correct recognized values at any time.
  • No automated profiling: MeruX does not make automated decisions with legal effect on users within the meaning of Art. 22 GDPR or Art. 6 EU AI Act.

For AI systems with higher risk potential (high-risk AI per Annex III EU AI Act), we will provide separate notification as applicable.

12. Intellectual Property

12.1 Provider's Rights

All rights to the MeruX platform, app, software, design, trademarks, and content (except content submitted by the User) are held by the Provider or its licensors. These Terms grant the User only the usage rights described in Section 4.

12.2 User Data and Feedback

The User grants the Provider a non-exclusive right to use the data submitted by the User for the duration of the contract, to the extent necessary for providing the contractual services. Voluntarily submitted feedback and suggestions for improvement may be used by the Provider without compensation, provided no personal data is included.

13. Changes to Terms

13.1 Reservation of Changes

The Provider reserves the right to amend these Terms when:

  • Statutory changes require such amendment,
  • Technical developments necessitate adjustments,
  • New services or features are introduced.

13.2 Notification and Deemed Acceptance

Changes to the Terms will be communicated to the User at least 30 days before the intended effective date by email. If the User does not object to the changes within 30 days of receipt of the notification, the new Terms are deemed accepted. The notification will explicitly state this consequence.

If the User objects, the Provider may terminate the contract with 30 days' notice, effective from the date the new Terms would take effect.

13.3 Material Changes

For material changes that substantially worsen the User's legal position, the Provider will provide an appropriate transition period within the bounds permitted by law.

14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer protection provisions of the country where the consumer has their habitual residence shall apply.

14.2 Jurisdiction

For disputes with businesses, the place of jurisdiction is Siegburg, Germany. For consumers, statutory jurisdiction rules apply.

14.3 Online Dispute Resolution (ODR)

The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr. The Provider is not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but is willing to participate voluntarily when the value in dispute justifies it.

15. Miscellaneous

15.1 Severability

Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a legally valid provision that comes closest to the economic purpose of the invalid provision.

15.2 Assignment

The Provider is entitled to transfer its rights and obligations under this contract to a third party, provided the User is informed and granted a special right of termination. The User is not entitled to transfer their rights and obligations without prior written consent of the Provider.

15.3 Text Form

Side agreements, amendments, and additions to these Terms require text form (email suffices), unless expressly agreed otherwise.

15.4 No Waiver

Failure by the Provider to enforce any provision or right under these Terms shall not constitute a waiver of such rights.
